Terms of Service

1. Introduction

Welcome to Klarinote (the "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you and the Joint Controllers of the Service, Kilian Le Creurer and Matteo Bottoloni, located at Via Emilio Zago 20, Bologna, Italy (hereinafter "We", "Us", or "Provider").

By accessing or using the website klarinote.com, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Service Description and Beta Status

Klarinote is an educational tool designed to assist students and professionals in processing study materials by generating study material from uploaded sources.

Beta Notice

The Service is currently in a Beta (testing) phase. By using the Service, you acknowledge and accept that:

  • The Service may contain errors, bugs, or experience service interruptions;
  • We do not guarantee that the Service will be error-free or that your content will be permanently stored;
  • We strongly advise you to keep backup copies of all documents and data uploaded to the Service.

Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. Artificial Intelligence Disclaimer

The Service utilizes third-party Artificial Intelligence (AI) models to process your data and generate content. By using the Service, you understand that:

  • No Guarantee of Accuracy: AI-generated content may be factually incorrect, incomplete, or misleading ("hallucinations"). You are solely responsible for verifying the accuracy of any generated notes against your original sources.
  • Educational Aid Only: The Service is a support tool and does not replace official educational resources, textbooks, or professional instruction. We are not liable for any academic consequences (e.g., exam failure, grading disputes) resulting from your reliance on the Service.

4. User Eligibility and Account

  • Age Requirement: You must be at least 14 years old to register, in compliance with Italian regulations regarding digital consent. If you are under 18, you represent that you have the permission of a parent or guardian to use the Service.
  • Account Registration: To use the Service, you must create an account using a valid email or a third-party authentication provider (e.g., Google).
  • Security: You are responsible for maintaining the confidentiality of your credentials. You agree to notify us immediately at support@klarinote.com of any unauthorized use of your account.

5. User Content and Intellectual Property

A. Your Content

You retain full ownership of the materials you upload, including URLs, audio, videos, text documents, and images ("User Content").

B. License to Provider

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, reproduce, process, and modify such content solely for the purpose of providing the Service to you (e.g., generating your notes and summaries). We do not sell your User Content to third parties.

C. User Warranty & Indemnification

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to upload your User Content. You specifically agree not to upload copyrighted educational materials (such as professor's slides, textbooks, or research papers) unless you have explicit permission to do so.

You agree to indemnify, defend, and hold harmless the Provider from any claims, damages, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
  • Any claim that your User Content caused damage to a third party.

6. Prohibited Use

You agree not to use the Service to:

  • Engage in academic dishonesty, plagiarism, or cheating;
  • Generate or disseminate hate speech, violence, sexually explicit content, or illegal material;
  • Upload documents containing sensitive personal data (health, judicial, biometric data) of yourself or others;
  • Reverse engineer, scrape, or attack the security of the Service or its underlying infrastructure.

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms.

7. Data Protection

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge that your data will be stored and processed in Europe and may be processed by third-party AI providers as detailed in the Privacy Policy.

8. Limitation of Liability

Important for Italian Users: To the maximum extent permitted by applicable law, and specifically excluding cases of willful misconduct (dolo) or gross negligence (colpa grave):

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied.
  • The Provider shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of academic credit, loss of profits, or service interruptions.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Italy.

  • Consumers: If you qualify as a Consumer under the Italian Consumer Code (D.Lgs. 206/2005), any dispute arising out of or relating to these Terms shall be subject to the mandatory jurisdiction of the court of your place of residence or domicile.
  • Non-Consumers: For all other users (including professionals and businesses), the exclusive jurisdiction for any dispute shall be the Court of Bologna, Italy.

10. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
